Hungary Puts a State Supervisor Over Bayer Construct's Bankruptcy. A Cancelled Office Sale Now Sits Under 4,600 Homes

Hungary classified the bankruptcy proceedings of Bayer Construct and ZVK Development as strategically significant on 4 September 2026 and installed a state asset supervisor. A cancelled office purchase priced above HUF 254 billion now sits above more than 4,600 homes under construction or planned.

Hungary Puts a State Supervisor Over Bayer Construct's Bankruptcy. A Cancelled Office Sale Now Sits Under 4,600 Homes

If this were my residential scheme, I would spend today inside the contractor's group accounts. The site is the easy part. One office building that never sold has just put a builder under state supervision.

The decree appeared in Magyar Közlöny on the evening of Friday 4 September 2026. Portfolio.hu reported it at 19:02 the same day. The government classified the bankruptcy proceedings of Bayer Construct Zrt. and ZVK Development Kft. as strategically significant. The order took effect at 19:00. It appoints the state-owned Nemzeti Reorganizációs Nonprofit Kft. as asset supervisor in both cases.

A filing that started with one buyer

Bayer Construct asked the court to open bankruptcy proceedings on 26 August 2026. The court granted a temporary payment moratorium the next day. Telex reported on 27 August that the company has 90 days to reach a creditor agreement. The full process can run for up to 365 days.

The cause sits in a single asset. The state had agreed with ZVK Development to buy the office element of the Zugló Városközpont scheme behind Bosnyák tér. Portfolio.hu puts the final price above HUF 254 billion plus VAT. It reports that around HUF 315 billion had already been paid during the project. In August 2026 the state withdrew and demanded the money back, citing closing conditions it says were unmet. One of those was a municipal pre-emption right still registered against the properties. Bayer disputes the withdrawal and says the buildings were finished on time with occupancy permits.

The supervisor changes how the workout runs

A state asset supervisor is a different animal from a court-appointed administrator. It can read the books, the contracts and the bank accounts. The companies cannot take on new financial obligations without its approval. Deals struck without that approval can be challenged in court. Payments that breach the protection rules can be clawed back. The supervisor also registers creditor claims and oversees the composition talks with lenders.

The state now occupies three seats at the same table. It is the buyer that walked away. It is a large creditor. It is also the supervisor of the process. When the decree was announced the government put the Hungarian Development Bank's direct and indirect exposure to the group at about HUF 207 billion. Bondholders sit behind that. Property Forum, citing Portfolio.hu, reports long-term bond liabilities of HUF 27.1 billion at the end of 2025, with a further HUF 3 billion moved to short-term debt ahead of a 2026 repayment.

What sits underneath is housing

This is the point where an office dispute becomes a residential delivery problem. Bayer Construct is the developer of the Kincsem scheme in Kőbánya and of Epres Liget in Debrecen. The first five Kincsem phases, roughly 1,400 homes, already hold occupancy permits. Phases six and seven cover 740 apartments promised for the third quarter of 2027. About a third of those are still unsold. Epres Liget adds 550 units.

As general contractor the company is building 270 homes at Harmat Liget and 451 at Virágpiac. It is also on Láng Negyed, a brownfield scheme of more than 2,600 homes in Budapest's 13th district. Add the phases still to be delivered and the count under construction or planned passes 4,600.

Southblaze, the developer of Láng Negyed, moved fast. Project director Zsanett Rózsahegyi told Portfolio.hu on 31 August that it is not looking for another contractor. Deep foundation works are due to finish by the end of September, with structural work following immediately. All buildings under development hold valid construction permits, the developer said.

The risk arrived from the group, not the site

Every one of those sites has permits, demand and a schedule. The trouble came from a different company inside the same group. A completed office block with one committed buyer is a single-name credit exposure. When that buyer walks, the loss lands wherever the group pools its liquidity. Here it landed on a contracting business with thousands of homebuyers attached to it.

The next 90 days will set the market's answer. Lenders financing Hungarian residential schemes will start pricing contractor group risk into covenants alongside project risk. Developers will look harder at whether their builder carries a concentrated public-sector receivable. Subcontractors will push for faster payment or for project accounts they can see. Buyers will ask who finishes the building if the contractor changes. Sponsors able to answer those four questions in writing will keep selling homes. The rest will discount.

Concentrated offtake in one company can stop delivery in another

The decision most in this industry are avoiding:

👉 Contractor risk is group risk. Most delivery due diligence stops at the contracting entity. The cash that pays your subcontractors usually sits somewhere else in the group.

👉 A signed public purchase is still a single-name credit. A state buyer removes market risk. It concentrates counterparty risk into one signature and one set of closing conditions.

👉 A press statement does not move a crane. Every affected developer will say the programme is unaffected. Ask instead which bank account pays next month's subcontractor invoices.

Here's the full context:

→ 2024: The group signs a strategic cooperation agreement with the government and grows on state and state-backed work, including an Innoscitech plant in Biharkeresztes carrying HUF 5.5 billion of state funding.

→ End 2025: Long-term bond liabilities stand at HUF 27.1 billion, with a further HUF 3 billion reclassified as short-term ahead of a 2026 repayment.

→ August 2026: The state withdraws from the Zugló office purchase, citing unmet closing conditions, and demands repayment of the roughly HUF 315 billion already paid.

→ 26 August 2026: Bayer Construct files for bankruptcy protection. The court grants a temporary payment moratorium the following day, opening a 90-day window for a creditor agreement.

→ Most recent: On 4 September 2026 a decree classifies both proceedings as strategically significant and installs Nemzeti Reorganizációs Nonprofit Kft. as state asset supervisor.

What this means for infrastructure operators, contractors and investors:

✅ Covenants will move up the ownership chain. Expect Hungarian residential lenders to test group liquidity, not only the project company balance sheet.

✅ Public receivables will be discounted, not celebrated. A large state contract will start reading as concentration risk in credit committees across the region.

✅ Step-in rights become the commercial differentiator. Developers with a named replacement contractor and priced novation terms will keep their sales rate. Others will lose reservations.

3 moves you can make this week:

1️⃣ Map your contractor's group, not just the entity you signed. List every sister company, guarantee and cross-default that can pull cash out of your builder.

2️⃣ Price a replacement now. Get one credible second contractor to quote your remaining scope, so a change of builder is a decision rather than a crisis.

3️⃣ Check your buyer deposits and your payment route. Confirm where deposits are held, who can draw on them, and whether subcontractors can be paid direct if the main contract stalls.
